The law firm of Fallace & Larkin was established to provide legal representation for the Firm’s clients in all stages of business and commercial transactions based on a foundation of a broad range of legal experience provided by its founding members, Jim Fallace and David Larkin. The Firm provides legal services for its clients in all stages of business and commercial entity formation, development, contracts, transactions, and litigation. These services include entity selection and formation to meet the clients goals and needs, preparation of entity governance documents including shareholder, partnership and operating agreements, drafting internal client employment and contractor agreements and contracts with third parties, preparing asset, stock and membership sale and acquisition agreements; and, when necessary, representing clients in complex commercial litigation in both state and federal court actions and arbitration proceedings.

The Firm provides on-going legal services for its clients and their business transactions with third parties in a broad range of areas of the law such as construction, health care, residential and commercial real estate, title insurance, employment and business law. In our experience, a significant portion of business disputes arise because of poor contract drafting which could have been avoided if the parties adequately identified their rights and obligations in the contract to avoid ambiguity and draft contracts that provide a clear and concise understanding of the parties' rights and duties to address current needs of our client and to the extent possible anticipate and address likely future issues that arise during the full life cycle of the contract. In our experience, a significant portion of business disputes arise because of poor contract drafting which could have been avoided if the parties adequately identified their rights and obligations in the contract and avoid ambiguity. When contract disputes do arise, our Firm has significant litigation experience representing both plaintiffs and defendants at the trial court and appellate levels.
